1. Introduction & Acceptance
1.1 These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “Client”, “you”) and TEAVE BUSINESS SOLUTIONS PRIVATE LIMITED (hereinafter “TitanTrustee”, “we”, “us”, “our”), the owner and operator of the TitanTrustee platform accessible at https://titantrustee.com.
1.2 TitanTrustee is a technology-enabled, non-custodial escrow facilitation and trust infrastructure platform. We act as a contractual agent and software layer; we do not take custody of funds. All client funds are held exclusively in escrow accounts maintained with Scheduled Commercial Banks regulated by the Reserve Bank of India (“RBI”).
1.3 These Terms apply to all visitors, registered users, API consumers, and any party transacting through the Platform. By registering an account, accessing the API, or initiating an escrow transaction, you confirm that you have read, understood, and accepted these Terms along with our Privacy Policy, Escrow Services Agreement, and all other policies published at titantrustee.com/legal.
1.4 If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
2. Definitions
- Platform: The TitanTrustee website, mobile application, APIs, dashboards, developer portal, and all associated services operated by the Company.
- Escrow: A financial arrangement in which a third-party holds funds on behalf of transacting parties pending fulfilment of agreed conditions.
- Non-Custodial Model: TitanTrustee does not hold, pool, or control client funds. Funds are held by the Partner Bank in a dedicated escrow account; TitanTrustee only provides the technology, verification, monitoring, and instruction layer.
- Partner Bank: Any Scheduled Commercial Bank with which TitanTrustee has entered into an agreement for the operation of escrow accounts.
- Client / User: Any individual (18 years or above) or business entity that registers on or uses the Platform.
- API: The TitanTrustee Application Programming Interface enabling programmatic access to Platform services.
- KYB/KYC: Know Your Business / Know Your Customer — the identity and business verification process conducted at onboarding.
- Escrow Agreement: The tripartite agreement between the Payer, Payee, and TitanTrustee governing a specific escrow transaction.
- Services: All services offered by TitanTrustee including escrow facilitation, KYB/KYC verification, dispute resolution, reconciliation, compliance monitoring, and related technology services.
3. Eligibility & Registration
3.1 You must be at least 18 years of age and legally competent to enter into contracts under the Indian Contract Act, 1872. Businesses must be duly incorporated/registered under applicable Indian law.
3.2 You must complete TitanTrustee's onboarding process, including KYB/KYC verification, and receive approval before transacting. We reserve the right to refuse, suspend, or terminate any registration at our sole discretion.
3.3 You agree to provide accurate, current, and complete information during registration and to keep it updated. Providing false or misleading information is a material breach of these Terms and may result in immediate account termination and reporting to relevant authorities.
3.4 Each organisation may maintain one account unless TitanTrustee grants prior written approval for multiple accounts. You are responsible for all activity under your account credentials.
3.5 You are responsible for maintaining the confidentiality of your account credentials, API keys, and authentication tokens. Any unauthorised access must be reported to us immediately at legal@titantrustee.com.
4. Services
4.1 Escrow Facilitation: TitanTrustee enables Clients to create programmable escrow arrangements covering vendor payments, marketplace transactions, and fintech API-based settlements. Escrows are created via the dashboard or API; funds are held by the Partner Bank and released, refunded, or disputed per the terms of the applicable Escrow Agreement.
4.2 KYB/KYC Verification: We conduct verification of business entities and individuals using third-party licensed verification services. A trust score is generated based on this verification. TitanTrustee does not guarantee the accuracy of third-party data sources.
4.3 Dispute Resolution: We offer a tiered dispute resolution process as set out in our Refund & Dispute Resolution Policy. Our role is that of a neutral facilitator; we do not provide legal adjudication.
4.4 API Access: Registered API Clients may access Platform services programmatically subject to API key scopes, rate limits, and the Developer Terms incorporated herein.
4.5 Reporting & Compliance Tools: We provide automated audit trails, reconciliation reports, and compliance exports. These are informational tools and do not constitute legal, financial, or regulatory advice.
4.6 Non-Custodial Nature: TitanTrustee is expressly NOT a bank, NBFC, Payment Aggregator, or Payment System Operator. We do not accept deposits, lend money, or guarantee returns. All funds remain in RBI-regulated bank escrow accounts at all times.
5. Fees & GST
5.1 TitanTrustee charges fees for its services as specified in the applicable Pricing Schedule published at titantrustee.com/pricing, or as agreed in a separate written agreement. We reserve the right to revise our fees with 30 days' prior notice.
5.2 All fees are exclusive of Goods and Services Tax (GST). GST at the applicable rate (currently 18%) shall be charged additionally on all invoices. GST Registration Number: 07AAGCT6413K1Z5.
5.3 Fees are non-refundable unless expressly stated otherwise. In case of a billing dispute, you must notify us within 15 days of the invoice date at legal@titantrustee.com.
5.4 TitanTrustee deducts its platform fee from the escrow corpus at the time of release, or invoices separately as agreed in writing. The exact deduction mechanics are specified in each Escrow Agreement.
6. Client Obligations
You agree to:
- Use the Platform only for lawful purposes and in compliance with all applicable Indian laws, RBI guidelines, PMLA, FEMA, GST law, IT Act, and any other applicable regulation.
- Not use the Platform to facilitate money laundering, terrorist financing, tax evasion, fraud, or any activity that is illegal or harmful.
- Ensure that all transaction details provided to TitanTrustee are accurate, complete, and not misleading.
- Obtain necessary consents from counter-parties before submitting their personal or business data to the Platform.
- Not reverse-engineer, decompile, copy, or misuse the Platform or its API.
- Not attempt to circumvent any security, rate-limiting, or access control mechanism.
- Not share API keys or access credentials with unauthorised persons.
- Promptly notify TitanTrustee of any suspected fraud, money laundering, or security breach related to your account.
7. Prohibited Activities
The following are strictly prohibited on the Platform:
- Transactions involving proceeds of crime, corruption, or illegal activity.
- Structuring transactions to avoid AML/KYC thresholds (smurfing).
- Transactions involving sanctioned persons, entities, or jurisdictions.
- Use of the Platform by persons on OFAC, UN, or Indian government sanction lists.
- Impersonation of any person, business, or authority.
- Uploading malicious code, scripts, or content that disrupts the Platform.
- Creating fictitious or sham escrow transactions.
- Any activity that violates RBI's Payment & Settlement Systems Act, 2007, PMLA 2002, or FEMA 1999.
8. Intellectual Property
8.1 All intellectual property rights in the Platform, including software, design, trademarks, trade names (“TitanTrustee”), APIs, documentation, and content, are owned by or licensed to TEAVE BUSINESS SOLUTIONS PRIVATE LIMITED. Nothing in these Terms transfers any IP rights to you.
8.2 Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Platform solely for your own business purposes.
8.3 You grant TitanTrustee a non-exclusive licence to use data submitted by you to the extent necessary to provide the Services and comply with legal obligations.
9. Limitation of Liability
9.1 TitanTrustee is a technology facilitator. We are not liable for the performance of underlying commercial contracts between transacting parties, the solvency of any party, or the accuracy of information provided by third parties.
9.2 To the maximum extent permitted by applicable law, our aggregate liability to you for any claim arising out of or related to these Terms or the Services shall not exceed the total fees paid by you to TitanTrustee in the three months immediately preceding the event giving rise to the claim.
9.3 We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profit, business interruption, or data loss, even if advised of the possibility of such damages.
9.4 TitanTrustee is not liable for: (a) force majeure events; (b) bank system failures or delays beyond our control; (c) regulatory action or freezing of accounts by competent authorities; (d) errors arising from inaccurate data provided by you.
10. Indemnification
You shall indemnify, defend, and hold harmless TitanTrustee, its directors, officers, employees, and agents from and against any claims, damages, losses, penalties, and legal costs arising from: (a) your breach of these Terms; (b) your violation of any applicable law; (c) any dispute between you and a counter-party; (d) inaccurate information provided by you; (e) misuse of the Platform.
11. Suspension & Termination
11.1 TitanTrustee may suspend or terminate your account immediately, without notice, if: (a) you breach these Terms; (b) we receive instructions from a competent authority; (c) we suspect fraud, money laundering, or illegal activity; (d) your KYB/KYC fails re-verification.
11.2 You may terminate your account by written notice to legal@titantrustee.com. Active escrow transactions must be settled before closure. Any outstanding fees remain payable.
11.3 Upon termination, your licence to use the Platform ceases. Provisions that by their nature should survive termination — including Intellectual Property, Limitation of Liability, Indemnification, Governing Law — shall survive.
12. Governing Law & Dispute Resolution
12.1 These Terms are governed by and construed in accordance with the laws of India.
12.2 Any dispute arising under these Terms shall first be attempted to be resolved amicably through written notice. If unresolved within 30 days, the matter shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with a sole arbitrator mutually appointed. The seat of arbitration shall be New Delhi.
12.3 Courts at New Delhi shall have exclusive jurisdiction over matters not subject to arbitration.
13. Amendments
TitanTrustee reserves the right to amend these Terms at any time. Amendments will be published at titantrustee.com/legal/terms and notified via email. Continued use of the Platform after the effective date of an amendment constitutes acceptance. If you do not agree to the amended Terms, you must stop using the Platform.
14. Miscellaneous
- Entire Agreement: These Terms, together with the Privacy Policy, Escrow Services Agreement, and other published policies, constitute the entire agreement between you and TitanTrustee.
- Severability: If any provision is found unenforceable, it shall be severed without affecting the remaining provisions.
- Waiver: Failure to enforce any provision shall not constitute a waiver of future enforcement.
- Assignment: You may not assign your rights under these Terms without prior written consent from TitanTrustee.
- Language: These Terms are in English. In case of conflict with any translated version, the English version prevails.
